Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the QMS Base platform (“Service”), operated by QMS Base, Inc. (“Company,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

1. Description of Service

QMS Base is a cloud-based quality management system (QMS) designed for ISO 9001-certified and ISO 9001-aspiring manufacturers. The Service provides modules for document control, corrective and preventive action (CAPA) management, nonconformity tracking, internal audit scheduling, management reviews, risk registers, supplier management, equipment calibration, training and competence records, customer complaint handling, change management, quality objectives, and inspection management. An AI-powered compliance assistant is included in eligible subscription tiers.

2. Account Terms

2.1 Registration

You must provide accurate, complete, and current information when creating an account. Each user must have a unique account; sharing credentials is prohibited. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2.2 Organization Accounts

QMS Base accounts are organized under an organization (“Organization”). The individual who creates the Organization is the initial administrator and may invite additional users. The administrator is responsible for managing user access and ensuring that all users within the Organization comply with these Terms.

2.3 Age Requirement

You must be at least 18 years of age to use the Service. The Service is intended for business use and is not directed at consumers or minors.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Upload, transmit, or store any content that infringes the intellectual property rights of any third party.
  • Attempt to gain unauthorized access to the Service, other accounts, or the underlying infrastructure.
  • Reverse-engineer, decompile, or disassemble any portion of the Service.
  • Use automated scripts, bots, or scrapers to access or extract data from the Service beyond the published API, unless expressly authorized.
  • Transmit malware, viruses, or any code of a destructive nature.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Resell, sublicense, or redistribute the Service without prior written consent.

We reserve the right to suspend or terminate accounts that violate these terms, with or without prior notice, depending on the severity of the violation.

4. Subscription Plans, Payment, and Billing

4.1 Plans

QMS Base offers multiple subscription tiers (e.g., Starter, Professional, Enterprise), each with different feature sets and user limits. The current plans and pricing are available at qmsbase.com/pricing. We reserve the right to modify pricing with 30 days' written notice to active subscribers.

4.2 Free Trial

New accounts may receive a free trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your account will be suspended, and data may be deleted after 30 days in accordance with our data retention policy.

4.3 Payment

Payments are processed by Stripe, Inc., a PCI DSS Level 1 certified payment processor. By providing payment information, you authorize us to charge the applicable subscription fees on a recurring basis (monthly or annually, depending on your plan). All fees are quoted in US dollars and are exclusive of applicable taxes.

4.4 Refunds

Subscription fees are non-refundable except where required by applicable law. If you cancel your subscription, you will retain access to the Service through the end of your current billing period.

5. Intellectual Property

5.1 Our Intellectual Property

The Service, including all software, design, text, graphics, interfaces, and underlying technology, is owned by QMS Base, Inc. and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

5.2 Your Data

You retain all rights to the data, documents, and content you upload to the Service (“Your Data”). By using the Service, you grant us a limited license to store, process, and display Your Data solely for the purpose of providing the Service to you. We do not claim ownership of Your Data.

5.3 Feedback

If you provide suggestions, feature requests, or other feedback about the Service, you grant us an unrestricted, irrevocable, perpetual license to use that feedback for any purpose without compensation to you.

6. Data Handling and Security

Your Data is stored on Supabase, which maintains SOC 2 Type II compliance and encrypts data at rest and in transit. The Service is hosted on Vercel's edge network. We implement industry-standard security practices including TLS encryption, role-based access controls, and regular security reviews. While we take commercially reasonable steps to protect Your Data, no method of electronic storage or transmission is 100% secure. You acknowledge this inherent limitation and agree to maintain your own backups of critical data.

7. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance when possible. For Enterprise plan subscribers, service level agreements (SLAs) are defined in a separate agreement. Standard and Professional support is provided via email at support@qmsbase.com.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QMS BASE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS, THAT IT WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

QMS Base is a tool to support your quality management processes. It does not constitute legal, regulatory, or certification advice. You are solely responsible for ensuring your organization's compliance with ISO 9001 and any other applicable standards or regulations.

10. Indemnification

You agree to indemnify, defend, and hold harmless QMS Base, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you upload to the Service that infringes the rights of a third party.

11. Termination

11.1 By You

You may cancel your subscription and close your account at any time through the account settings or by contacting support@qmsbase.com. Cancellation takes effect at the end of the current billing period.

11.2 By Us

We may suspend or terminate your access to the Service if: (a) you breach these Terms; (b) your payment method fails and is not updated within 14 days; (c) we are required to do so by law; or (d) we discontinue the Service with at least 90 days' notice.

11.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will make Your Data available for export for 30 days following termination. After that period, Your Data may be permanently deleted. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) shall survive.

12. Modifications to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Service and cancel your subscription.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to personal jurisdiction in those courts.

14. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy and any Order Form or SLA, constitute the entire agreement between you and QMS Base, Inc. regarding the Service.
  • Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, or internet service disruptions.
